Draft for attorney review

Dealer Agreement

For independent dealers who take private, play-money events through Learn the Table.

Between Taste Nights LLC, doing business as Learn the Table, 2222 W Grand River Ave, Ste A, Okemos, MI 48864 ("we," "us"), and the dealer who accepts it on their dealer profile ("you"). Version 1, October 2026.

  • 1. What this is

We send you requests to deal private, play-money events in Michigan. Each request you accept is a separate job. This agreement covers every job you take through us.

  • 2. You're independent

    • You're an independent contractor running your own business, not our employee, partner or agent. The one exception is rule 6.
    • You decide how to deal. You decide which jobs to take. You can use helpers or a substitute you choose, if the host and we are told first and that person meets rule 9.
    • We don't require training, uniforms, scripts or set hours. We don't provide benefits.
  • 3. Your rate. You choose.

You set your rate, and you can set a different rate for each night when you accept a request. We show the host one all-in price: your rate plus our 15% booking fee, which the host pays. We never take any part of your rate.

  • 4. Accept or decline

You may accept, decline or ask questions about any request, for any lawful reason. Declining never counts against you. Once you accept, you're expected to show up. If you must cancel, tell us in the app as early as you can so we can find a backup.

  • 5. Your gear

You may bring your own cards, chips and table kit, or use what the host or we provide for that job. Any play chips used must have no cash value.

  • 6. We collect payment for you

    • You appoint us to collect and process payment of your rate from hosts on your behalf. You agree we may tell hosts that we accept payment for you.
    • When we receive a host's payment, it counts as paid to you by that host.
    • You connect a Stripe account. Stripe pays your full rate to it 48 hours after the event, unless a problem is reported; then only the disputed amount waits.
  • 6a. Messages stay in the app

Until a booking is paid, all contact with the host goes through Learn the Table messages. Contact details and addresses are shared after payment, for that booking only. Arranging a booking outside the app to avoid the fee is not allowed.

  • 7. When we pay you

    • Private events: your full rate, sent by Stripe to your connected account 48 hours after the event ends. Your bank shows it on Stripe's usual payout schedule.
    • If the host reports a problem within 48 hours after the event, only the disputed amount waits, for up to 10 business days while we review it. The rest is sent on time. We'll tell you, and hear your side, before deciding.
    • If the host cancels: 7 or more days before the start, the host gets a full refund and you get nothing for that job. Between 48 hours and 7 days before, the host gets a 50% refund and you get 50% of your rate. Less than 48 hours before, the host gets no refund and you get 100% of your rate. Either share is paid at the usual time, 48 hours after the event was due to end.
    • If you cancel or don't show: the host gets a full refund and you aren't paid for that job.
    • Tips: 100% of tips from guests are yours. Never ask for tips.
    • Our own First Table classes: a flat fee per class (stated in each class offer), plus 10% of that night's stream tips, plus 100% of cash tips from players. Paid within 2 business days.
  • 8. Taxes

You pay your own taxes. Before your first payout, give us a Form W-9. We'll send a Form 1099-NEC when the law requires it (for 2026, when we pay you $2,000 or more in the year). We don't withhold taxes unless the law requires it, for example backup withholding if your W-9 is missing.

  • 9. Who can deal with us

    • You're at least 21.
    • To your knowledge, you have no conviction in the past 7 years for a crime involving cheating at gambling, gambling fraud, theft, fraud or dishonesty, and no felony involving violence. If you do, tell us. We'll look at what happened, how long ago and whether it relates to this work before deciding. A record isn't an automatic no.
    • If we ever run a background check, we'll ask for your written OK first and follow the federal Fair Credit Reporting Act.
  • 10. Conduct

    • Be on time, sober while working, courteous and honest.
    • Don't drink alcohol or use drugs while working.
    • No harassment of anyone.
    • Follow the venue's rules.
  • 11. Play money only. This is your duty.

    • Deal only play-money games: no buy-ins, no chips sold, no cash or prizes for chips or results, no rake, no side bets.
    • If you see gambling for value, ask the host to stop it.
    • If it doesn't stop, stop dealing and leave. Tell us the same day. You're still paid in full.
    • Never deal a real-money charity casino night (millionaire party) through us. Michigan has separate rules for who may deal those.
  • 12. Safety

You may stop and leave any job where you reasonably feel unsafe. Tell us right away. You won't lose pay for leaving for a real safety reason.

  • 13. No side deals

    • For 12 months after we introduce you to a host, any private event you deal for that host goes through us.
    • If a host asks to book you directly, send them to us or tell us.
    • If you deal a job for that host outside Learn the Table, you'll pay us the booking fee we would have earned on that job. We may also stop sending you requests.
    • This doesn't cover hosts you knew before our introduction.
    • This rule never limits your right to work for anyone else, including casinos, party companies or your own clients.
  • 14. Working elsewhere

You're free to work for others, including casinos. If you're a casino or gaming employee, check your employer's outside-work rules and any license conditions first. That's your responsibility.

  • 15. Being featured

We don't film private events. Being featured on our stream or in clips (for example at First Table classes) is optional and covered only by our separate Participant Release, which you can decline.

  • 16. Confidentiality

Use host names, contact details, addresses and event details only for the job. Don't share them, and delete them within 12 months after the job, unless you need them for your own tax records.

  • 17. Insurance and responsibility

You're responsible for your own acts at a job.

  • 18. Ending this agreement

Either side may end this agreement at any time by email. Jobs already accepted should still be honored unless there's a safety reason or a serious breach. We may stop sending you requests if you break rule 9, 10, 11 or 13.

  • 19. Michigan law

Michigan law governs. Any lawsuit goes to the state or federal courts for Ingham County, Michigan.

  • 20. Signing

You sign by ticking the three boxes on your dealer profile and saving it. Your electronic signature has the same effect as a written one.

The three boxes

  • I accept the Dealer Agreement.
  • I'm 21 or older, and I've read rule 9.
  • I'll deal play money only and stop any real-money play (rule 11).

None are ticked for you. You tick them on your dealer profile.
